Bootstrap.ph Affiliate Program Terms and Conditions

1. Introduction

Welcome to the Bootstrap.ph Affiliate Program. This agreement outlines the terms and conditions under which you (“Affiliate”) agree to participate in the program, promoting and selling products from Bootstrap.ph Inc. (“Company”) in exchange for a referral fee.

2. Enrollment

To join the Affiliate Program, the Affiliate must complete and submit an application via bootstrap.ph website. The Company reserves the right to accept or reject applications at its discretion. Accepted Affiliates will receive access to an affiliate dashboard and marketing materials.

3. Affiliate Obligations

3.1 The Affiliate agrees to use the Bootstrap Philippines Inc.’s provided marketing materials and affiliate links for promotion.

3.2 The Affiliate must disclose their affiliate relationship with the Company in all promotions as required by applicable laws and regulations.

3.3 The Affiliate shall not engage in deceptive, misleading, or unethical practices and must comply with all relevant laws.

4. Commission and Payment

4.1 The Affiliate will earn a referral fee based on sales generated through their unique affiliate referral code. The Affiliate’s role is to connect the prospect to Bootstrap.ph, which will handle all subsequent sales processing and customer service.

4.2 The referral fee will be calculated as 10% of the net profit from each sale made through the affiliate’s referral code.

4.3 Bootstrap.ph is responsible for tracking sales made via the affiliate referral code using its tracking technology. The Affiliate will have access to reports detailing the sales attributed to their code.

4.4 The Affiliate must ensure that the referral code is correctly used by prospects to accurately track and attribute sales to their efforts.

5. Payouts

5.1 Affiliates are eligible for payouts once their accrued earnings reach a minimum threshold of ₱1,000.

5.2 Earnings will be paid out monthly, directly into the Affiliate’s preferred bank account or digital wallet.

5.3 Payouts will be processed within 7 business days. The actual credit to the Affiliate’s account will depend on the processing timeline of the respective bank or digital wallet.

5.4 Examples of popular digital wallets in the Philippines include GCash, Maya, and Coins.ph, which provide convenient and secure transactions for users across various services.

6. Dispute Resolution

6.1 In the event of a dispute regarding commissions, referrals, or payouts, the Affiliate should notify Bootstrap.ph in writing within 30 days of the payment date or the date the dispute arose.

6.2 Bootstrap.ph will investigate the claim and respond within 15 business days of receiving the dispute notification.

6.3 Both parties agree to work in good faith to resolve the dispute. If an agreement cannot be reached, further mediation may be pursued as agreed upon by both parties.

6.4 Unresolved disputes after mediation may lead to legal proceedings under this agreement’s governing law and jurisdiction.

7. Term and Termination

7.1 This agreement starts upon Affiliate acceptance and continues unless terminated.

7.2 Either party may terminate with written notice. Upon termination, the Affiliate must cease all promotional activities and remove all affiliate links.

8. Intellectual Property

Affiliates are granted a non-exclusive, non-transferable, revocable right to use the Bootstrap Philippines Inc.’s trademarks and marketing materials solely for the purpose of promoting the Bootstrap Philippines Inc.’s products within Bootstrap Philippines Inc. marketing campaigns. These materials are intended for use exclusively by Bootstrap Philippines Inc. and may not be utilized for any other purpose without explicit authorization. Any unauthorized use or dissemination of these materials beyond the scope of Bootstrap Philippines Inc. marketing campaigns is strictly prohibited. Bootstrap Philippines Inc. shall not be liable for any misuse or unauthorized distribution of its brand materials. The affiliate hereby acknowledges and agrees to be fully accountable for any such misuse or unauthorized distribution and shall be subject to legal consequences to the fullest extent permitted by law.”

9. Limitation of Liability

The Company is not liable for indirect, special, or consequential damages arising from this program. In the event of any damages incurred by the Company as a result of the affiliate’s actions, including but not limited to misuse or unauthorized distribution of brand materials, Bootstrap Philippines Inc. reserves the right to charge such damages to the affiliate, commencing with deductions from the affiliate’s earnings. Should the damages surpass the affiliate’s earnings, Bootstrap Philippines Inc reserves the right to pursue the remaining costs from the affiliate.

10. Confidentiality

The Affiliate must keep the Bootstrap Philippines Inc.’s proprietary information confidential and not disclose it without prior written consent. This obligation of confidentiality extends for a period of up to three years from the termination or expiration of the affiliate agreement. During this time, the Affiliate shall refrain from disclosing any proprietary information belonging to Bootstrap Philippines Inc. to any third party without explicit written authorization. Failure to adhere to this confidentiality obligation may result in legal action and the imposition of appropriate remedies as permitted by law.

11. Miscellaneous

11.1 This agreement is the entire agreement between the parties, superseding prior agreements and understandings.

11.2 The agreement is governed by and construed in accordance with the laws of the Republic of the Philippines

12. Acknowledgment

By enrolling in the Affiliate Program, the Affiliate acknowledges they have read, understood, and agreed to these terms.
